Job Summary

A board chair, also called a chairperson, is primarily responsible for leading and facilitating the board of directors, overseeing its meetings, ensuring effective decision-making, and acting as a key liaison between the board and the CEO while maintaining a focus on the organization’s strategic direction and governance standards. 

Job Responsibilities

Key responsibilities of a board chair include:

  • Presiding over board meetings:
    Setting the agenda, managing discussion, ensuring all board members have a voice, and facilitating timely decision-making.
  • Strategic leadership:
    Guiding the board in setting the organization’s overall strategic vision and priorities.
  • CEO oversight:
    Evaluating the CEO’s performance, providing feedback, and working collaboratively to execute the board’s strategic plans.
  • Board member development:
    Fostering a positive and productive board culture, encouraging active participation from all members, and supporting their ongoing development.
  • Committee management:
    Overseeing the work of board committees, ensuring alignment with overall board goals.
  • External representation:
    Acting as the public face of the board, representing the organization to stakeholders and key external parties.
  • Governance compliance:
    Ensuring the board adheres to all legal and regulatory requirements related to corporate governance.
